Local-Foreign Ownership

Sri Lankan law requires a minimum 51% local shareholding for a company to hold freehold land title. The foreign partner holds 49%. The land is registered in the company name, not personally, giving the structure full legal standing under the Land (Restrictions on Alienation) Act.

Land Held Under Company Name

The joint venture company acquires the land freehold. This is the only legally recognised route for a foreign national to benefit from freehold land ownership in Sri Lanka. The title is clean, registered, and protected by the company's shareholder agreement.

Regulatory Framework

Projects are structured in compliance with the Board of Investment of Sri Lanka (BOI) Act, the Companies Act No. 7 of 2007, and FIAC guidelines. Capital repatriation is facilitated through established Central Bank of Sri Lanka channels.

Long-Term Profit Sharing

Once the investor's principal is fully recovered, the venture transitions to a permanent 50/50 profit split, directly reflecting the underlying legal equity structure. Both partners grow together from that point forward.

Our Story

Built from the ground up in Sri Lanka.

The Ceylon Villas & Co. was founded by Keshan De Mel, a Sri Lankan who grew up watching the island's coastline transform, and who believed that international buyers deserved a partner who understood both worlds.

What began as a single villa project in Kalutara has grown into a full-service platform: sourcing land, designing homes, managing properties, and guiding investors through every stage of ownership. We operate at the intersection of local knowledge and global standards, because that is the only way to do this properly.

Keshan brings over a decade of hands-on hospitality experience to every project. His career spans front-of-house leadership at Shangri-La Colombo, reservations operations at Anantara Hotels & Resorts, duty management for Accor during the FIFA World Cup in Qatar, and two and a half years as Assistant Front Office Manager at RIU Hotels & Resorts in Ahungalla. That background means he reads a villa the way a guest does, not just the way a developer does.

He is personally involved in every build. When architects present plans, Keshan reviews them through the lens of guest operations: flow between spaces, staff access routes, how a bedroom feels at 6 a.m., where luggage lands when a family arrives. The details that make a luxury property work in practice, not just on paper.

Every client relationship is personal. Every project carries our name. That is not a marketing line. It is how we have built our reputation, one villa at a time.
